TERMS AND CONDITIONS (Illinois, USA)

1. Overview
- Business: ChatReply, a business based in Illinois (ChatReply, we, us, our)
- Service: chatreply.org and the ChatReply assistant widget, dashboard, APIs, and related services (Service)
- By using the Service, you agree to these Terms and our Privacy Policy.

2. Eligibility and Accounts
- You must be at least 18 and able to form a binding contract under Illinois law.
- You are responsible for your account, credentials, and all activity under it. Notify us promptly of any suspected breach.

3. Free Trial and Auto-Conversion
- We may offer a free trial with limited features for a limited time.
- Auto-Convert: Unless you cancel before the trial ends, your account automatically converts to the selected paid plan and your payment method will be charged with current fees and taxes on the first day after the trial ends.
- We will send a reminder before your trial ends to the email on file. You can cancel any time before the trial ends via your account settings.

4. Plans, Billing, Taxes
- Plans and pricing are described on our site and may change with reasonable notice. Changes take effect in the next billing cycle unless otherwise stated.
- You authorize recurring charges to your payment method for fees, applicable taxes, and any add-ons each cycle until you cancel.
- Fees are exclusive of taxes; you are responsible for all applicable taxes.

5. Cancellations, Refunds, and Changes
- You can cancel at any time. Cancellation takes effect at the end of your current billing period unless otherwise stated.
- Refunds: See the Refund Policy for details.
- We may modify or discontinue features. If a change materially reduces the Service, we will provide notice and an option to cancel before it takes effect.

6. Acceptable Use
- Do not misuse the Service, interfere with its operation, or use it to violate laws or third-party rights.
- You must not upload, transmit, or prompt collection of unlawful, infringing, or harmful content.

7. Service Availability; Disclaimers
- We strive for high availability but do not guarantee uninterrupted or error-free operation. Maintenance and outages may occur.
- Features such as Real-Time Alerts are subject to network conditions, provider queues, and plan/integration limits and are not guaranteed to be instantaneous.
- Greeting Behavior: Intended to greet most visitors when the widget loads; display can vary by device/browser settings, blockers, consent, and site configuration.

8. HIPAA and Regulated Data
- ChatReply is not a HIPAA-covered entity or business associate, does not sign BAAs, and the Service is not designed for protected health information (PHI). Do not use the Service to collect, store, or process PHI or other regulated data (e.g., PCI, CJIS).

9. Intellectual Property
- ChatReply and its licensors own all rights in the Service. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service as permitted by these Terms.

10. Customer Content
- You grant ChatReply a license to host, process, and display content you submit to operate and improve the Service, subject to the Privacy Policy.

11. Third-Party Services
- Integrations may be provided by third parties subject to their terms. ChatReply is not responsible for third-party services.

12. Limitation of Liability
- To the maximum extent permitted by Illinois law, ChatReply is not liable for indirect, incidental, consequential, special, or punitive damages, or lost profits. ChatReply's total liability is limited to the fees you paid in the 12 months before the claim.

13. Indemnification
- You will defend and indemnify ChatReply against claims arising from your use of the Service or violation of these Terms.

14. Governing Law; Venue
- These Terms are governed by the laws of the State of Illinois, without regard to conflicts of law.
- Exclusive venue lies in the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction.

15. Suspension and Termination
- ChatReply may suspend or terminate the Service or your account for violations, legal risk, or to protect the security or integrity of the Service.

16. Changes to the Service or Terms
- ChatReply may update the Service and these Terms. Material changes will be notified by reasonable means. Continued use after changes take effect constitutes acceptance.

- ChatReply may send notices via email to the address associated with your account or via the dashboard.

- Availability: High availability is a goal, not a guarantee; maintenance and outages may occur.
